This Schedule 14D-9 filing consists of the following communications related to the proposed acquisition of Osiris Therapeutics, Inc., a Maryland corporation (the Company), by Smith & Nephew Consolidated, Inc., a Delaware corporation (Parent), and Papyrus Acquisition Corp., a Maryland corporation and a wholly owned subsidiary of Parent (Merger Sub), pursuant to the terms of the Agreement and Plan of Merger dated March 12, 2019 (the Merger Agreement), among the Company, Parent, Merger Sub and, solely for purposes of Section 7.02 and Article XI thereto, Smith & Nephew plc, an English public limited liability company.

The tender offer for the shares of outstanding common stock of Osiris has not yet commenced.
